The terms that apply when ordering goods from Maaab Limited.

1. Definitions

1.1 Buyer: The individual, company, or entity purchasing Goods from the Seller.
1.2 Seller: Maaab Limited, including affiliates and representatives.
1.3 Goods: Products sold by the Seller, including beverages, snacks, and confectionery.
1.4 Contract: The agreement governing the sale and purchase of Goods.
1.5 Price: The quoted cost, excluding VAT, duties, and delivery fees.
1.6 Delivery Date: The date specified for delivery.
1.7 Order: A request to purchase Goods, subject to Seller’s acceptance.

2. Application & Orders

2.1 These Terms apply to all sales and override any other terms unless agreed in writing.
2.2 Orders are binding once accepted by the Seller.
2.3 The Seller may amend these Terms with written notice.
2.4 The payment due date is stated on the invoice, in accordance with the agreed payment terms.

3. Price & Payment

3.1 Prices are per the Seller’s price list or agreed terms and may change without notice.
3.2 Payment terms are set on a case-by-case basis and confirmed in writing.
3.3 Late payments incur 2% monthly interest from the due date.
3.4 Prices are in GBP (£), excluding VAT and applicable taxes.
3.5 Non-payment may result in suspension of deliveries and debt recovery action.

4. Delivery & Risk

4.1 The Seller aims to meet Delivery Dates but is not liable for delays.
4.2 Risk transfers upon delivery; ownership remains with the Seller until full payment.
4.3 The Buyer must inspect Goods on delivery and report any issues within 48 hours.

5. Returns, Cancellations & Claims

5.1 Returns require prior written approval and must be in original condition.
5.2 Orders cannot be canceled once dispatched.
5.3 Claims for defective Goods must be submitted with supporting evidence.

6. Warranties & Liability

6.1 Goods will conform to agreed specifications, but no further warranties apply.
6.2 The Seller’s liability is limited to repair, replacement, or refund.
6.3 The Seller is not liable for indirect losses, including business disruption.

7. Force Majeure

7.1 The Seller is not liable for delays due to events beyond its control, such as natural disasters, pandemics, or supply chain disruptions.

8. Termination

8.1 The Seller may terminate a Contract if the Buyer:

  • Fails to pay on time.
  • Breaches these Terms.
  • Becomes insolvent.

8.2 All unpaid amounts become due upon termination.

9. Confidentiality & Intellectual Property

9.1 The Buyer must keep the Seller’s pricing and trade information confidential.
9.2 All branding and trademarks remain the property of Maaab Limited.

10. Governing Law & Disputes

10.1 These Terms are governed by English law.
10.2 Disputes shall be resolved in the courts of England & Wales.

11. Labels & Compliance Responsibility

11.1 Where applicable, the Seller may provide the Buyer with legally compliant product labels (e.g., UK Food Information Regulations). It is the Buyer’s sole responsibility to ensure the items are displayed and sold with the correct labels visibly applied.
11.2 Failure to properly label products may result in regulatory penalties, for which the Seller holds no liability.

13. Acceptance of Terms

By placing an Order, the Buyer acknowledges and agrees to these Terms & Conditions of Sale, including any specific customer agreements and payment terms noted on the invoice.
